Business Observatory
The Business Observatory analyzes more than 6.000 medium and large-size Italian companies with over €50 million in turnover. The research topics comprise ownership, leadership and corporate structures, governance models, by-laws rules, economic and financial results and main strategic transactions (M&A, FDI, etc.).

The Observatory's activities and research
The Corporate Governance Lab's Enterprise Observatory systematically analyzes Italy's approximately 6,000 large companies (with turnover > €50 million) having every kind of ownership structure (initially excluding subsidiaries of multinational companies) on aspects such as:
- Ownership and corporate structure, with information on individual shareholders and their shares;
- Governance model adopted, and related composition of corporate bodies;
- Leadership structure, including proxies and their distribution;
- Bylaw rules: on the composition of management and supervisory bodies; on the transfer of shares (pre-emption, approval, co-sale clauses, etc.); on the operation of the Shareholders' Meeting (and related thresholds for resolutions); on the distribution of dividends;
- Financial performance;
- Major strategic choices (e.g., mergers, acquisitions, FDI, etc.).
The analyses conducted are aimed at identifying ownership and governance models that can both anticipate and prevent potential conflicts within the corporate structure and put companies in the best position to meet the growing competitive challenges at the global level.
For this reason, an international benchmark of companies in other major European countries (with turnover > 250 million) is also planned, aimed at providing entrepreneurs with a perspective that is not only national, but consistent with the competitive environment in which they operate.
The impact and relationship with territories
Together with the Monitor's Partners (PWC TLS as the technical-scientific Partner of the Corporate Governance Lab and Banca Generali Main Partner of the Enterprise Observatory), the Lab's faculty team intends to disseminate and debate the research results in direct contact with entrepreneurs and enterprises in their territories. With a program of infra-annual events for discussion and in-depth analysis of both scientific findings and business success stories, the Monitor aims to be both the national and local reference point for entrepreneurs who increasingly understand the complexity and crucial importance of addressing the problems associated with governing their businesses early and with the right tools.
In this regard, the Monitor's research, together with all the research, debate and dissemination activities of the Corporate Governance Lab, constitute a primary source for the development of training programs both for individuals in the various governance roles (presidents, CEOs, directors) and for entire corporate bodies (Boards of Directors, Boards and senior management, etc.), designed by SDA Bocconi both "tailor-made" for individual clients and on a multi-client basis.
